Terms for businesses using CosFox.

1. About these Terms

These Terms of Service govern your access to and use of CosFox. CosFox is a trading name of MBFRAMEWORKS LTD, a company registered in England and Wales under company number 17165682. By creating a CosFox account, purchasing a subscription or using the CosFox service, you agree to these Terms. If you use CosFox on behalf of a business or organisation, you confirm that you have authority to agree to these Terms on its behalf. References to “CosFox”, “we”, “us” and “our” mean MBFRAMEWORKS LTD. References to “you” and “your” mean the person or business subscribing to or using the service.

2. The CosFox service

CosFox is software designed to help builders and construction businesses manage enquiries and organise information relating to construction work. Depending on the features available under your subscription, CosFox may help you receive and manage enquiries, conduct construction-aware conversations, ask follow-up questions, organise information into Builder Reports, distinguish confirmed information from uncertain information, identify matters that may deserve attention, import supported conversations, and search and manage information within your CosFox workspace. Available functionality may change as the service is developed.

3. CosFox assists — you decide

CosFox is an assistive software service. CosFox may use artificial intelligence and automated analysis to generate questions, summaries, observations, reports and other outputs. AI-generated and automated outputs can be incomplete, inaccurate or incorrect. You are responsible for reviewing information produced by CosFox before relying on it or using it in connection with your business, customers, projects, quotations or contracts.

CosFox does not replace your professional judgement, a physical site inspection, structural, architectural or engineering advice, legal or contractual advice, building-control or planning requirements, health and safety responsibilities, specialist surveys or investigations, verification of measurements, quantities or specifications, or your responsibility for quotations, pricing, scope and contractual commitments.

CosFox recommends. You decide.

4. Your account

You must provide accurate information when creating and maintaining your CosFox account. You are responsible for keeping your login credentials secure, activity carried out through your account, maintaining appropriate access controls within your business, and notifying us if you reasonably believe your account has been compromised. You must not allow unauthorised persons to access the service.

5. Acceptable use

You must use CosFox lawfully and responsibly. You must not use CosFox for unlawful, fraudulent or deceptive purposes; attempt to gain unauthorised access to another customer’s account, workspace or information; interfere with or attempt to compromise the security or operation of the service; introduce malware or malicious code; use automated methods to overload, scrape or abuse the service; reverse engineer the service except where applicable law expressly permits it; or use CosFox in a way that infringes another person’s rights. We may restrict or suspend access where reasonably necessary to protect CosFox, its users or other people.

6. Customer and enquiry information

You remain responsible for determining what customer, prospective customer and project information you choose to collect and process through CosFox. You must ensure that you have an appropriate lawful basis and provide any privacy information required when collecting personal information from your customers or prospective customers. You must not intentionally use CosFox to collect personal information that is unnecessary for the construction enquiry or service being provided. 7. Data processing terms

This section applies where MBFRAMEWORKS LTD processes personal data on your behalf in connection with your use of CosFox. For that processing, you act as the controller and MBFRAMEWORKS LTD acts as the processor, except where applicable law determines otherwise.

The subject matter is the provision and operation of the CosFox service. Processing continues for the duration necessary to provide the service and deal with applicable post-termination obligations. The nature and purpose of processing is to receive, store, organise, analyse, retrieve and otherwise process information as necessary to provide CosFox functionality on your behalf.

Personal data may include identity and contact information, conversation content, enquiry information, project/property information and other information submitted through the service. Data subjects may include your customers, prospective customers, employees, contractors and other people whose information you lawfully submit to CosFox.

We will process relevant personal data only on your documented instructions, including these Terms and your lawful use of the service, unless we are required to process it by law; ensure people authorised to process the personal data are subject to appropriate confidentiality obligations; implement appropriate technical and organisational measures designed to protect personal data; provide reasonable assistance with data-protection rights, applicable security, breach, impact-assessment and regulatory obligations; make information reasonably necessary to demonstrate compliance with applicable processor obligations available to you; and notify you if, in our reasonable opinion, an instruction infringes applicable data protection law.

You authorise us to use subprocessors where reasonably necessary to provide CosFox, subject to applicable data-protection requirements. We remain responsible for imposing appropriate data-protection obligations on subprocessors where required by law.

On termination or expiry of the service, personal data processed on your behalf will be deleted or returned in accordance with applicable law, our documented retention arrangements and any legal obligation requiring continued storage.

8. CosFox Essential subscription

CosFox Essential is provided as a recurring subscription. The price displayed when you subscribe forms part of your subscription agreement. Where you join under the CosFox Essential Founder Launch offer at £12.99 per month, that Founder price will continue while the qualifying subscription remains continuously active, subject to these Terms. If you cancel the subscription and later subscribe again, the Founder price is not guaranteed and the price available at the time of the new subscription may apply. Any applicable taxes will be dealt with as required by law.

9. Payment and renewal

Your subscription renews automatically at the applicable billing interval until cancelled. You authorise the applicable payment provider to collect subscription charges using the payment method associated with your account. If payment fails, we may retry payment and may restrict or suspend access to paid functionality until payment is successfully made. We will not intentionally charge you for a new subscription period after cancellation has taken effect.

10. Cancellation

You may cancel your CosFox Essential subscription. Cancellation stops future subscription renewals but does not normally reverse charges already incurred for the current subscription period, except where applicable law requires otherwise. Unless stated otherwise during cancellation, you may continue using paid functionality until the end of the subscription period you have already paid for. Your Founder Launch price may be lost if the qualifying subscription is cancelled.

11. Changes to CosFox

CosFox is an evolving service. We may add, modify or remove features where reasonably necessary to develop, maintain, secure or improve the service. We will not deliberately use minor product changes as a mechanism to avoid our obligations under an existing paid subscription. If a material change significantly affects a paid service, we will provide information or notice where reasonably appropriate.

12. Availability

We aim to provide a reliable service, but CosFox is not guaranteed to operate without interruption or error. Access may occasionally be unavailable because of maintenance, technical failure, security incidents, third-party infrastructure or circumstances outside our reasonable control.

13. Intellectual property

CosFox, including its software, design, branding and underlying technology, is owned by or licensed to MBFRAMEWORKS LTD and is protected by applicable intellectual-property laws. These Terms give you the right to use CosFox during your subscription. They do not transfer ownership of CosFox to you. You retain your rights in information and content that you lawfully submit to CosFox. You grant us the rights necessary to host, process and use that information solely as required to provide, secure, maintain and lawfully operate the service.

14. Third-party services

CosFox may depend on or integrate with third-party technology and services. We are not responsible for third-party services outside our control, although this does not affect responsibilities that applicable law places directly on us.

15. Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so. Subject to applicable law, MBFRAMEWORKS LTD is not responsible for business decisions, construction decisions, quotations, pricing, contracts or professional judgements made by you based on information processed or presented through CosFox. You are responsible for reviewing CosFox outputs and independently verifying information where appropriate.

16. Suspension and termination

We may suspend or terminate access where reasonably necessary if you materially breach these Terms; payment remains outstanding; your use presents a material security or legal risk; your use threatens the operation of CosFox or other customers; or we are legally required to do so. Where reasonably possible, we will give you an opportunity to resolve a remediable issue before terminating the service.

17. Changes to these Terms

We may update these Terms to reflect changes to CosFox, applicable law, security requirements or our commercial arrangements. Where a change materially affects an existing paid subscription, we will provide reasonable notice where required or appropriate. The current Terms will be published on this page.

18. Governing law

These Terms and any dispute or claim arising from them are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction, subject to any rights or jurisdiction that applicable law requires otherwise.
